1. Introduction
These Terms of Service (“Terms”) govern access to and use of Signeez, a document workflow and electronic-signing product owned and operated by Zerozilla Infotech Pvt Ltd, a company incorporated under the laws of India.
Signeez is a product and brand of Zerozilla Infotech Pvt Ltd. It is not a separate company, incorporated entity, partnership, certifying authority, or legal person.
In these Terms, “Signeez,” “Zerozilla,” “Company,” “we,” “us,” and “our” refer to Zerozilla Infotech Pvt Ltd.
“Services” refers collectively to the Signeez website, applications, electronic-signing platform, Aadhaar-enabled eSign functionality, document-management features, artificial-intelligence features, integrations, APIs, customer support, and related services.
By creating an account, purchasing a subscription, clicking an acceptance button, signing a document, or otherwise accessing or using the Services, you agree to these Terms.
If you do not agree to these Terms, you must not access or use the Services.
2. Definitions
For these Terms:
- “Account” means a registered account used to access the Services.
- “Account Holder” means the person or organisation that creates, purchases, administers, or controls an Account.
- “Authorised User” means an individual authorised by a Customer to use the Services.
- “Customer” means a person or organisation that purchases, subscribes to, or otherwise contracts with Zerozilla for the Services.
- “Customer Content” means Documents, prompts, templates, data, text, images, signatures, instructions, files, and other content submitted to or processed through the Services by or on behalf of a User.
- “Document” means any file, electronic record, form, template, agreement, certificate, or other material uploaded, created, transmitted, processed, reviewed, or signed through the Services.
- “Document Participant” means a sender, signer, reviewer, approver, witness, recipient, authorised representative, or other participant in a document workflow.
- “eSign Provider” means VERASYS TECHNOLOGIES PVT LTD or another authorised provider used to facilitate an electronic-signature transaction.
- “Subscription Plan” means the applicable paid or unpaid Signeez plan.
- “User,” “you,” and “your” mean any person or organisation that accesses or uses the Services.
3. Eligibility and Authority
You may use Signeez only if:
- You are at least 18 years old;
- You are legally capable of entering into a binding contract;
- You are not prohibited from using the Services under applicable law; and
- You agree to comply with these Terms.
If you access or use Signeez on behalf of a company, employer, government body, partnership, trust, association, or another organisation, you represent and warrant that:
- You possess sufficient authority to act on its behalf;
- You have authority to accept these Terms for that organisation; and
- The organisation agrees to be bound by these Terms.
If you do not have such authority, you must not accept these Terms or use the Services on the organisation’s behalf.
4. Acceptance and Electronic Contracting
You agree that:
- These Terms may be accepted electronically;
- Clicking “Accept,” “Agree,” “Sign,” “Continue,” or a similar button may constitute your electronic acceptance;
- Your electronic acceptance has the same effect as acceptance provided through a physical signature, to the extent permitted by law;
- Electronic records maintained by Signeez may be used to demonstrate your acceptance, Account activity, and use of the Services; and
- Communications, notices, invoices, and contractual records may be provided electronically.
A Document presented for signature through Signeez may contain terms between the sender and signer that are separate from these Terms. Zerozilla is not automatically a party to such a Document merely because Signeez is used to process it.
5. Description of the Services
Signeez may enable Users to:
- Create and manage Documents;
- Create reusable templates;
- Generate templates using artificial intelligence;
- Upload, send, receive, review, approve, reject, and sign Documents;
- Configure document workflows;
- Add fields, recipients, reminders, and signing sequences;
- Facilitate Aadhaar-enabled eSign through Verasys;
- Generate electronic audit trails and completion records;
- Store completed Documents;
- Manage teams and organisational Accounts;
- Use APIs and third-party integrations; and
- Access other features made available under the applicable Subscription Plan.
Features may vary according to the Subscription Plan, location, Customer configuration, applicable law, provider availability, and technical requirements.
We may add, change, improve, restrict, replace, or discontinue features in accordance with these Terms.
6. Accounts and Account Security
You must provide accurate, current, and complete Account information.
You are responsible for:
- Maintaining the confidentiality of your password and authentication credentials;
- Protecting devices used to access Signeez;
- Restricting access to your Account;
- Maintaining accurate Account and contact information;
- Configuring appropriate roles and permissions;
- Reviewing Account activity; and
- Promptly notifying us of suspected unauthorised access.
You must not:
- Share an individual Account between multiple persons unless expressly permitted;
- Permit an unauthorised person to use your Account;
- Impersonate another person;
- Use false identity information;
- Attempt to gain unauthorised access; or
- Circumvent authentication, security, usage, or Subscription Plan restrictions.
Activity performed through your Account may be treated as authorised by you unless you notify us of unauthorised access without unreasonable delay.
Zerozilla will not be responsible for losses arising from compromised credentials, shared Accounts, insecure devices, or failure to follow reasonable security practices, except to the extent such responsibility cannot lawfully be excluded.
7. Organisation-Managed Accounts
If your Account is created, purchased, or managed by an organisation, its authorised administrators may be able to:
- Add or remove Users;
- Assign roles and permissions;
- Access organisational Documents;
- View usage and audit information;
- Configure security and retention settings;
- Reset Account credentials;
- Suspend or terminate access;
- Export organisational information; and
- Retain or delete organisational data.
You acknowledge that an organisation-managed Account is subject to the organisation’s policies and administrative control.
Zerozilla is not responsible for an organisation’s internal access decisions, employment actions, document-management practices, or use of information obtained through its Account.
8. Electronic Signatures
8.1 Electronic-Signature Functionality
Signeez provides technology for creating, applying, facilitating, and recording electronic signatures and document workflows.
Certain electronic signatures may be facilitated through VERASYS TECHNOLOGIES PVT LTD, including Aadhaar-enabled electronic signatures.
Zerozilla does not itself issue Digital Signature Certificates and does not claim to be a Certifying Authority unless separately licensed or recognised under applicable law.
8.2 Legal Recognition
Electronic records and electronic signatures may be legally recognised under the Information Technology Act, 2000 and other applicable laws when the applicable legal, technical, consent, attribution, authentication, stamping, witnessing, and execution requirements are satisfied.
Important: Using Signeez does not, by itself, guarantee that every Document or electronic signature is legally valid, sufficient, or enforceable.
Use of Signeez does not automatically guarantee that:
- Every Document creates a valid or enforceable contract;
- Every electronic signature is legally sufficient;
- Every signer possesses contractual capacity or authority;
- Every Document has been properly stamped, witnessed, notarised, registered, or filed;
- Every transaction complies with sector-specific legislation;
- An electronic signature will be accepted by every court, regulator, authority, bank, or third party; or
- A Document is suitable for electronic execution in every jurisdiction.
8.3 User Responsibility
The sender and Document Participants are responsible for determining:
- Whether electronic execution is legally permitted;
- Which signature method is appropriate;
- Whether Aadhaar eSign, another electronic signature, or a physical signature is required;
- Whether the signer has legal capacity and authority;
- Whether witnesses, notarisation, registration, stamping, or government filing are required;
- Whether the applicable stamp duty or other charge has been paid;
- Whether the final Document accurately reflects the parties’ agreement; and
- Whether the Document complies with applicable law.
You should obtain independent legal advice where the legal validity or enforceability of a Document is important.
8.4 Documents Requiring Special Treatment
Unless expressly supported by Signeez and verified by qualified legal counsel, you must not rely solely on Signeez for executing any Document or transaction excluded from, or requiring additional formalities under, applicable law.
Under the First Schedule to the Information Technology Act, 2000, excluded categories presently include:
- A negotiable instrument other than a cheque;
- A power of attorney;
- A trust;
- A will or other testamentary disposition; and
- A contract for the sale or conveyance of immovable property or an interest in such property.
Other Documents may require physical execution, witnesses, notarisation, stamp duty, registration, filing, or a prescribed signature method.
The mere technical ability to upload or sign a Document through Signeez does not represent that the Document is legally eligible for electronic execution.
8.5 Signer Consent and Attribution
By applying an electronic signature, you represent that:
- You are the person identified as the signer or are lawfully authorised to sign;
- You intend to sign the Document;
- You consent to the selected electronic-signature process;
- You have had a reasonable opportunity to review the Document;
- Information supplied for authentication is accurate;
- You are not signing under impersonation, fraud, or unauthorised coercion; and
- You understand that an audit trail may record your actions.
You must not apply another person’s electronic signature or authentication credentials without lawful authority.
8.6 Third-Party eSign Infrastructure
Aadhaar authentication and eSign transactions may depend on Verasys, UIDAI, telecommunications providers, Certifying Authorities, and other external infrastructure.
Zerozilla does not control:
- Aadhaar authentication results;
- OTP delivery;
- External provider availability;
- Issuance or rejection of a Digital Signature Certificate;
- Government infrastructure;
- External provider security controls; or
- Changes imposed by a regulator or service provider.
We may suspend or modify an eSign feature if required by law, regulation, provider instruction, security concerns, or technical limitations.
9. Aadhaar-Enabled eSign
If you use Aadhaar-enabled eSign, you agree that:
- Aadhaar use is voluntary unless a lawful requirement applies;
- You will provide informed consent before authentication;
- Aadhaar information will be used only for the disclosed signing and authentication purpose;
- Aadhaar inputs may be processed by Verasys and other authorised ecosystem participants;
- Signeez may receive a transaction result, certificate, masked identifier, timestamp, consent record, or related audit information;
- You will not provide another person’s Aadhaar information without lawful authority; and
- You will not attempt to bypass Aadhaar security or authentication controls.
Zerozilla does not intend to store Aadhaar OTPs, Virtual IDs, private signing keys, or core biometric information.
Limited eSign transaction information may be retained where necessary to complete the transaction, maintain an audit trail, resolve a dispute, prevent fraud, or comply with law.

10. Customer Content and Documents
10.1 Ownership
As between you and Zerozilla, you retain your rights in Customer Content.
Zerozilla does not acquire ownership of your Documents merely because they are uploaded to or processed through Signeez.
10.2 Limited Licence to Zerozilla
You grant Zerozilla and its authorised service providers a limited, non-exclusive, worldwide licence to host, store, reproduce, transmit, display, format, convert, process, back up, and otherwise use Customer Content solely as reasonably necessary to:
- Provide the Services;
- Complete requested document workflows;
- Provide support;
- Maintain security;
- Prevent fraud and abuse;
- Comply with law;
- Enforce these Terms; and
- Exercise other rights expressly authorised by you.
This licence continues only for as long as necessary for these purposes, subject to applicable retention requirements.
10.3 Your Representations
You represent and warrant that:
- You own Customer Content or possess sufficient rights to use it;
- Uploading and processing Customer Content does not violate law or another person’s rights;
- You have provided required notices;
- You have obtained required permissions and consents;
- You are authorised to invite each Document Participant;
- The Document is not fraudulent, misleading, defamatory, or unlawful;
- The Document does not contain malicious software; and
- You are not using Signeez to impersonate, deceive, harass, or exploit another person.
10.4 Document Accuracy
Zerozilla does not independently verify:
- The accuracy of Document content;
- The legal identity of every participant except through selected authentication methods;
- A signer’s authority;
- The authenticity of statements made in a Document;
- The commercial fairness of a transaction; or
- The legality of a Document’s subject matter.
Responsibility for Document content remains with the sender and relevant Document Participants.
10.5 Document Copies
You are responsible for downloading and maintaining copies of important Documents.
Signeez should not be used as the sole archival repository for Documents that must be preserved permanently or under a statutory records-retention obligation unless a written agreement expressly provides an archival commitment.
11. Artificial-Intelligence Features
Signeez may provide AI-powered features for drafting, creating, formatting, suggesting, or improving templates and other content.
When using an AI feature:
- You remain responsible for the prompt and information submitted;
- You must have sufficient rights to submit that information;
- You must not submit unnecessary sensitive or confidential information;
- You must independently review the output;
- You must verify legal, financial, commercial, and factual accuracy;
- You must not represent AI-generated output as professional advice; and
- You must not use the output for unlawful, deceptive, discriminatory, or harmful purposes.
AI output requires human review. AI-generated templates may be inaccurate, incomplete, outdated, repetitive, unsuitable, or similar to content generated for another User.
AI features do not provide legal, tax, financial, accounting, employment, compliance, or other professional advice.
Zerozilla does not warrant that AI-generated templates:
- Are legally enforceable;
- Are appropriate for a particular transaction;
- Comply with every law or jurisdiction;
- Are free from third-party claims;
- Are complete or error-free; or
- Will achieve a particular outcome.
You must obtain qualified professional advice before relying on an AI-generated template for a material transaction.
Customer Content and prompts will be processed as described in the Privacy Policy. Private Customer Content will not be used to train publicly available or general-purpose AI models unless expressly disclosed and authorised.
12. Acceptable Use
You must use the Services only for lawful purposes.
You must not use Signeez to:
- Violate any law, regulation, court order, or legal duty;
- Commit fraud, forgery, impersonation, identity theft, or misrepresentation;
- Obtain a signature through deception or unlawful coercion;
- Sign on behalf of another person without authority;
- Distribute malware, ransomware, spyware, or harmful code;
- Infringe intellectual-property, privacy, confidentiality, or contractual rights;
- Upload unlawful, defamatory, obscene, abusive, discriminatory, or exploitative content;
- Process child sexual-abuse material or other illegal content;
- Conduct unauthorised surveillance;
- Send unsolicited bulk messages or spam;
- Harvest personal data without authority;
- Circumvent authentication, billing, security, or usage controls;
- Probe, scan, penetrate, or test the Services without written permission;
- Reverse-engineer, decompile, or attempt to extract non-public source code except where such restriction is prohibited by law;
- Interfere with the availability or performance of the Services;
- Use automated scraping or extraction tools without permission;
- Resell or commercially exploit the Services unless authorised in writing;
- Falsely represent affiliation with Zerozilla, Signeez, Verasys, UIDAI, or a government authority;
- Use the Services to create a competing product through systematic extraction or replication; or
- Use the Services in a manner that creates an unreasonable security, operational, legal, or reputational risk.
We may investigate suspected misuse and cooperate with legally authorised investigations.
13. Third-Party Services and Integrations
The Services may depend on or integrate with third-party services, including:
- Verasys;
- Aadhaar and government infrastructure;
- Certifying Authorities;
- Cloud-hosting providers;
- Payment gateways;
- AI technology providers;
- Analytics services;
- Email and SMS providers;
- Identity and authentication providers; and
- Customer-enabled applications.
Third-party services may be subject to separate terms and privacy policies.
Zerozilla is not responsible for an independent third party’s availability, authentication decision, content, security incident, data-processing practice, pricing, modification, suspension, or discontinuation.
We may modify or discontinue an integration if the relevant third-party service becomes unavailable, changes its requirements, creates a security concern, or imposes unreasonable technical or commercial conditions.
14. Subscription Plans
Certain Services require a paid Subscription Plan.
The applicable plan may specify:
- Features;
- Usage limits;
- Number of Users;
- Document or signature limits;
- Storage capacity;
- Subscription period;
- Fees;
- Billing frequency; and
- Support entitlement.
You must not circumvent Subscription Plan restrictions.
We may monitor usage for billing, security, service management, and enforcement of plan limits.
If you exceed an applicable limit, we may require an upgrade, charge an agreed overage fee, restrict the relevant feature, or suspend further usage until the matter is resolved.
15. Fees, Taxes, and Payments
You agree to pay all applicable fees in accordance with the selected Subscription Plan, order form, invoice, or commercial agreement.
Unless otherwise displayed or agreed in writing:
- Fees are quoted and payable in Indian Rupees;
- Applicable taxes are additional;
- Payment must be made through an approved payment method;
- You are responsible for maintaining accurate billing information;
- Fees are non-refundable except as expressly stated in the Refund Policy or required by law; and
- Failure to pay may result in restriction, suspension, or termination.
You authorise us and our payment providers to process applicable charges.
You are responsible for bank charges, payment-gateway charges, withholding obligations, and taxes imposed on your purchase, except taxes imposed on Zerozilla’s income.
16. Renewals and Cancellation
If a Subscription Plan is identified as automatically renewing, it will renew for the stated period unless cancelled before the renewal date.
Applicable renewal pricing, billing frequency, and cancellation options will be displayed during purchase or stated in the applicable order form.
Cancelling a subscription ordinarily prevents future renewal but does not automatically entitle you to a refund for the current paid period.
You may continue to use paid features until the end of the paid term unless:
- The Account is terminated for breach;
- A payment is reversed or disputed;
- Continued access creates a legal or security risk; or
- The applicable plan states otherwise.
Refund eligibility is governed by the Signeez Refund Policy and mandatory consumer law.
17. Intellectual Property
The Services, including their software, code, interface, workflows, designs, graphics, logos, trademarks, documentation, databases, and underlying technology, are owned by or licensed to Zerozilla.
Except for the limited right to use the Services under these Terms, no intellectual-property right is transferred to you.
You must not:
- Copy, modify, reproduce, or distribute the Services;
- Remove proprietary notices;
- Use the Signeez or Zerozilla name or logo without permission;
- Create a derivative product from the Services;
- Sell, sublicense, lease, or commercially exploit the Services; or
- Register a confusingly similar trademark, domain, company name, or product identity.
“Signeez” is a product and brand of Zerozilla Infotech Pvt Ltd, regardless of whether a particular trademark has been formally registered.
17.1 Feedback
If you provide suggestions or feedback, you grant Zerozilla a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate that feedback without an obligation to compensate you.
This does not give Zerozilla ownership of your Documents or private Customer Content.
18. Confidentiality
Each party may receive non-public information belonging to the other party.
A receiving party must:
- Use confidential information only for the purpose for which it was disclosed;
- Apply reasonable safeguards;
- Limit access to persons who need the information and are subject to confidentiality obligations; and
- Not disclose it except as authorised or legally required.
Confidential information does not include information that:
- Becomes public without breach;
- Was already lawfully known;
- Is independently developed without use of the confidential information; or
- Is lawfully received from another source without a duty of confidentiality.
If disclosure is legally required, the receiving party may disclose the minimum information required and, where permitted, provide advance notice.
Zerozilla may process Customer Content as permitted by these Terms, the Privacy Policy, an applicable Data Processing Agreement, and law.
19. Privacy and Data Protection
Personal data is processed in accordance with the Signeez Privacy Policy and applicable law.
By using the Services, you acknowledge that:
- Document Participants may receive Documents and associated information;
- Organisation administrators may control organisation-managed Accounts;
- Service providers may process information for authorised operational purposes;
- Audit trails may record signing and access events;
- Data may be retained where required for transaction integrity, security, legal compliance, or disputes; and
- Use of Aadhaar eSign and third-party integrations may involve independent processing by authorised third parties.
Where a Customer controls the purposes of processing personal data contained in its Documents, the Customer is responsible for providing required notices, obtaining required consent, and responding to applicable rights requests.
20. Service Availability and Changes
We aim to provide reliable Services, but we do not guarantee uninterrupted or error-free availability.
The Services may be unavailable because of:
- Scheduled or emergency maintenance;
- Software defects;
- Internet or telecommunications failures;
- Cloud-provider outages;
- eSign or Aadhaar infrastructure failures;
- Cyberattacks;
- Regulatory action;
- Force majeure events; or
- Circumstances outside our reasonable control.
We may change the Services to improve functionality, address security concerns, comply with law, meet third-party requirements, prevent abuse, replace unsupported technology, or reflect commercial or operational decisions.
Where reasonably practicable, we will provide notice of a material reduction in paid functionality.
21. Beta and Experimental Features
Features identified as beta, preview, trial, experimental, or early access may:
- Be incomplete;
- Contain defects;
- Change without notice;
- Have limited support;
- Produce inaccurate results; or
- Be discontinued.
You use such features at your own discretion and should not rely on them for critical or legally sensitive transactions unless separately agreed in writing.
22. Suspension and Restriction
We may restrict or suspend access where we reasonably believe:
- These Terms have been violated;
- The Account is being used fraudulently or unlawfully;
- Account security has been compromised;
- Payment is overdue;
- Usage creates a security, legal, regulatory, operational, or reputational risk;
- Suspension is requested by an authorised Customer administrator;
- A provider or authority requires suspension;
- Continued processing could harm Zerozilla, Users, or another person; or
- Suspension is necessary to investigate suspected misuse.
Where appropriate, we may provide notice and an opportunity to remedy the issue. Immediate suspension may occur where delay could create harm or legal exposure.
23. Termination
You may stop using the Services at any time. An Account Holder may request cancellation or deletion through the available Account controls or by contacting support.
We may terminate an Account or these Terms where:
- A material breach is not remedied within a reasonable period;
- The breach cannot be remedied;
- Fraud, impersonation, illegal activity, or serious abuse is suspected;
- Fees remain unpaid;
- We are required to do so by law or a competent authority;
- A third-party dependency makes continued service impracticable; or
- We discontinue the relevant Service.
Termination does not affect accrued payment obligations, existing legal rights, or provisions intended to survive termination.
24. Effect of Termination and Data Export
Before terminating a paid Account, you should export Documents and information you are entitled to retain.
After termination:
- Access may end immediately or at the end of the paid term;
- Certain Customer Content may be deleted according to the Privacy Policy and applicable retention schedule;
- Audit trails and legally required records may be retained;
- Information may remain in another Document Participant’s Account;
- Organisation-controlled information may remain under the organisation’s control; and
- Backup copies may remain temporarily until overwritten.
Zerozilla is not obligated to retain expired or terminated Account data indefinitely unless required by law or a written agreement.
25. Warranties and Disclaimers
To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis.
Zerozilla disclaims implied warranties and conditions concerning:
- Merchantability;
- Fitness for a particular purpose;
- Non-infringement;
- Accuracy;
- Availability;
- Legal enforceability;
- Uninterrupted operation;
- Error-free operation; and
- Results obtained through the Services.
We do not warrant that:
- Every Document will be legally binding;
- Every signer is who they claim to be;
- Every signer has authority or capacity;
- An eSign will be accepted by every authority or court;
- AI-generated content will be accurate or legally suitable;
- The Services will meet every Customer requirement;
- Every security threat will be prevented; or
- Customer Content will never be lost.
Nothing in these Terms excludes an express written warranty included in a separately executed agreement.
26. Indemnity
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Zerozilla Infotech Pvt Ltd, its affiliates, directors, officers, employees, contractors, licensors, and service providers from claims, proceedings, losses, liabilities, damages, penalties, costs, and reasonable legal fees arising from or relating to:
- Your breach of these Terms;
- Your Customer Content;
- Your infringement of another person’s rights;
- Your unlawful or unauthorised use of the Services;
- A Document sent, signed, or processed by you;
- Your failure to obtain legally required consent or authority;
- Your misuse of Aadhaar or authentication information;
- Your use of AI-generated content;
- A dispute between you and another Document Participant;
- Your violation of applicable law; or
- Fraud, impersonation, negligence, or wilful misconduct by you.
Zerozilla will provide reasonable notice of an indemnified claim where practicable.
You may not settle a claim in a manner that admits fault by Zerozilla, imposes an obligation on Zerozilla, or affects Zerozilla’s rights without written consent.
27. Limitation of Liability
To the maximum extent permitted by law, Zerozilla and its affiliates, directors, employees, contractors, licensors, and service providers will not be liable for:
- Indirect, incidental, special, exemplary, punitive, or consequential loss;
- Loss of profit, revenue, business, opportunity, goodwill, or anticipated savings;
- Loss or corruption of data;
- Business interruption;
- Failure of a Document to be legally enforceable;
- A dispute between Document Participants;
- Unauthorised access caused by compromised User credentials;
- Actions or failures of Verasys, UIDAI, a Certifying Authority, payment provider, AI provider, telecommunications provider, or another third party;
- AI-generated errors or omissions; or
- Failure to maintain independent copies of important Documents.
This exclusion applies regardless of the legal theory and even if the possibility of loss was known.
Aggregate liability: To the maximum extent permitted by law, Zerozilla’s aggregate liability will not exceed the fees paid for the affected Services during the 12 months preceding the relevant event, or INR 5,000 where the claimant used only free Services.
The limitations in this section do not exclude liability that cannot lawfully be excluded or limited, including liability arising from fraud or another non-waivable statutory obligation.
The parties acknowledge that the fees and allocation of risk under these Terms reflect these limitations.
28. Consumer Rights
Nothing in these Terms is intended to exclude, restrict, or waive a right that cannot lawfully be excluded under applicable consumer-protection legislation.
If you qualify as a consumer, mandatory consumer rights will prevail over any conflicting provision of these Terms.
Business and enterprise Customers acknowledge that the Services are primarily supplied for business and professional use.
29. Force Majeure
Zerozilla will not be responsible for delay or failure caused by circumstances beyond its reasonable control, including:
- Natural disasters;
- Fire or flood;
- Epidemic or pandemic;
- War, terrorism, civil disturbance, or labour disruption;
- Government action;
- Court or regulatory orders;
- Internet or telecommunications failure;
- Power failure;
- Cloud or data-centre outage;
- Cyberattack;
- Failure of Aadhaar, Verasys, Certifying Authority, payment, or banking infrastructure; or
- Failure of another critical third-party provider.
This provision does not excuse payment obligations that became due before the force majeure event.
30. Legal Compliance
You must comply with all laws applicable to your use of Signeez, including laws concerning:
- Contracts;
- Electronic signatures;
- Data protection and privacy;
- Aadhaar;
- Stamp duty;
- Document registration;
- Consumer protection;
- Intellectual property;
- Employment;
- Financial transactions;
- Taxation;
- Anti-bribery;
- Sanctions; and
- Cybersecurity.
Zerozilla may refuse, restrict, preserve, or disclose information where reasonably necessary to comply with a legal obligation or valid governmental request.
31. Governing Law
These Terms are governed by the laws of India, without regard to conflict-of-law principles.
Mandatory statutory rights and jurisdictional requirements that cannot legally be excluded will continue to apply.
32. Dispute Resolution
Before commencing formal proceedings, the party raising a dispute must send written notice describing:
- The nature of the dispute;
- Relevant facts;
- The requested resolution; and
- Supporting information.
The parties will attempt in good faith to resolve the dispute within 30 days after receipt of the notice.
If the dispute is not resolved, it will, to the extent legally permissible, be referred to binding arbitration under the Arbitration and Conciliation Act, 1996.
The arbitration will:
- Be conducted by a sole arbitrator mutually appointed by the parties;
- Have its legal seat and venue in Bengaluru, Karnataka;
- Be conducted in English; and
- Permit the arbitral award to be enforced by a court of competent jurisdiction.
If the parties cannot agree upon an arbitrator, the arbitrator will be appointed according to the Arbitration and Conciliation Act, 1996.
Courts of competent jurisdiction in Bengaluru, Karnataka will have exclusive jurisdiction over interim or injunctive relief, enforcement of an arbitral award, disputes that cannot legally be arbitrated, and other proceedings permitted under applicable law.
Nothing in this section prevents an eligible consumer from approaching a consumer commission or another statutory forum where that right cannot legally be waived.
33. Notices
Zerozilla may provide notices through:
- Email sent to the Account’s registered address;
- In-product notification;
- Publication on the Signeez website;
- Account dashboard; or
- Another reasonable electronic method.
You are responsible for maintaining current contact information and reviewing notices.
Legal notices to Zerozilla must be sent to legal@zerozilla.com and should include sufficient information to identify the sender, Account, issue, and requested action.
34. Changes to These Terms
We may update these Terms to reflect changes in law or regulation, the Services, third-party providers, security requirements, commercial arrangements, or business operations.
The revised Terms will state their effective date.
Where a change materially affects existing Users, we will provide reasonable notice through email, an in-product notification, or another appropriate method.
If you do not agree to revised Terms, you must stop using the Services and cancel any affected Subscription Plan before the revised Terms become effective.
Continued use after the effective date constitutes acceptance where permitted by law.
A material change will not retroactively alter an accrued claim unless expressly agreed or legally permitted.
35. General Provisions
35.1 Entire Agreement
These Terms, the Privacy Policy, applicable order forms, Subscription Plan details, and any separately executed agreement constitute the agreement concerning your use of the Services.
35.2 Order of Precedence
If documents conflict, the following order applies unless expressly stated otherwise:
- A separately executed enterprise or commercial agreement;
- A Data Processing Agreement;
- An order form;
- These Terms;
- The Privacy Policy; and
- Other published policies.
The Privacy Policy will control specifically regarding the description of personal-data processing.
35.3 Severability
If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will continue in effect.
35.4 Waiver
Failure to enforce a provision does not waive the right to enforce it later.
35.5 Assignment
You may not assign or transfer these Terms without Zerozilla’s written consent.
Zerozilla may assign these Terms in connection with a merger, restructuring, acquisition, financing, or transfer of the Signeez business, subject to applicable law.
35.6 Independent Parties
These Terms do not create a partnership, agency, joint venture, employment, fiduciary, or franchise relationship between you and Zerozilla.
35.7 No Third-Party Beneficiaries
Except where expressly stated, these Terms do not grant enforcement rights to another person.
35.8 Headings
Headings are for convenience and do not affect interpretation.
35.9 Survival
Provisions concerning payments, intellectual property, confidentiality, indemnity, liability, disputes, retained records, and other provisions intended by their nature to survive will continue after termination.
